1. Acceptance of Terms

By creating an account, accessing, or using Wall (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using Wall, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.

3. User Accounts

Security: You are responsible for safeguarding your account credentials. You agree to notify us immediately of any unauthorized use of your account.

Responsibility: You are responsible for all activities and content posted under your account. Wall is not liable for any loss or damage arising from your failure to protect your login information.

4. User Content and Permissions

"User Content" refers to any text, posts, data, or other materials you submit to Wall.

Ownership: You retain all ownership rights to your User Content. We do not claim ownership of your content.

License Grant: By posting User Content on Wall, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media or distribution method (now known or later developed). The rights you grant in this license may be used for purposes including but not limited to: Operating, providing, and improving the Service; Promoting and marketing the Service; Developing new features or services.

License Termination: You may terminate this license by deleting your account. You acknowledge that the termination of this license does not apply to any promotional materials, marketing assets, or derivative works that were created, distributed, or published by Wall prior to your deletion request. We retain the right to continue using such pre-existing materials.

5. Acceptable Use Policy

You agree not to use the Service to: Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful. Impersonate any person or entity, or falsely state your affiliation with any person or entity. Post private or confidential information of others. Spam, manipulate the feed, or use automated bots, scrapers, or spiders to access the Service. Violate the intellectual property rights of others.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Wall and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wall.

7. Moderation and Termination

We reserve the right, but have no obligation, to monitor User Content. We may remove any content or suspend/ban any user at any time, for any reason, without notice, including for violation of these Terms.

8. Copyright

We respect intellectual property rights. If you believe your copyright has been infringed, please notify our Copyright Agent: copyright@rence.la. Your notice must comply with the requirements of the Digital Millennium Copyright Act (DMCA) by providing a description of the copyrighted work, the URL of the infringing content, and your contact information.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wall, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your User Content.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

11. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco, California for the resolution of any disputes.
